If a company buys another compay and offer to pay $55.00 a share - does the stick holder have to sell or can he keep his shares

If the company that is buying them out is paying $55 per share of another company then you will get $55 for each share that you own.

Unfortunately you do have to sell, because the company you own will be merging with the other company and adopting their shares. Thus their own stock is going away.
